Responsibilities:

  • Work closely with the senior management team of the Enablon business unit on customer contracts, as well as other general commercial, corporate and contractual matters, and advise on regulatory compliance and dispute matters

  • Help to educate the business teams about contracting forms, intellectual property rights and obligations, commercial and legal risks and internal contract review and approval procedures.

  • Provide comprehensive legal counseling regarding a broad spectrum of corporate, commercial, and intellectual property matters impacting the businesses, including legal issues related to SaaS, on premise software license and professional service offerings and strategic relationships

  • Provide hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing and enforcing complex, material and high value commercial transactions, including customer agreements, subcontracting agreements, and other licensing and software arrangements, business rules, software procurement and development and IT services procurement agreements

  • Provide similar hands-on legal support in all aspects of structuring, drafting, negotiating, interpreting, managing, enforcing and defending and counseling on risks relating to a wide range of strategic transactions and other partnering and alliance arrangements with domestic or foreign third parties, including distributions arrangements

  • Counsel on regulatory and compliance matters impacting the businesses

  • Work closely with Enablon management on contractual and regulatory exposures and risks relating to development of new customer offerings or services and related customer agreement terms, promotional and marketing activities, data protection and cybersecurity risks across different offerings and in diverse media and premise-based or mobile IT devices, and international market expansion

  • Advise the business on the protection, management and monetization of intellectual property rights and identifying and implementing such intellectual property protections and opportunities through oversight and improvement of and training regarding the use and protection of intellectual property

  • Develop a strong rapport and working relationship with the management team of Enablon business to help drive the delivery of effective and high quality legal services which are appropriately linked to the relevant business needs of Enablon, while at the same time helping drive greater consistency of approach and standards across Wolters Kluwer businesses

  • Develop an in-depth knowledge and understanding of Enablon, its people, organization, markets, products, customers, competitors and regulatory environment to identify trends and provide high level legal/commercial advice to the businesses

Qualifications:

  • A minimum of seven years of progressively responsible corporate/commercial legal experience; preferably including experience with both a multi-national law firm and an established corporate law department; preferably with experience representing software businesses and data security matters

  • Juris Doctor (JD) or LLB from an accredited college/university

  • Experience with hands-on legal work on a variety of sophisticated domestic and international commercial contracts including intellectual property-intensive transactions, from structuring, negotiating and documenting appropriate contractual arrangements to advising on their implementation and post-signing management and interpretation

  • Expertise in key intellectual property legal concepts including SaaS and other software licensing transactions

  • Strong intellect, excellent legal acumen and rigorous analytical skills

  • Superior legal drafting and negotiating skills
